A new organization earns trust by being precise about what it is and is not. This page lists HxDF's legal status, governance, and financial documents with their actual status. Nothing here is implied.
Legal and organizational status
What HxDF is today.
HxDF is an emerging initiative. It is not yet incorporated and not yet a 501(c)(3) organization. Fiscal sponsorship is under consideration.
HxDF is being developed as a public benefit initiative. The intended path is to operate under a fiscal sponsor (an existing 501(c)(3) that hosts the project under its exempt status) while the model is tested, and to decide later, on evidence, whether a standalone charitable organization is warranted.
Until a charitable vehicle is confirmed, HxDF is not soliciting tax deductible donations and does not represent itself as a 501(c)(3). Sponsorship and grant conversations are welcome now so that agreements can be structured correctly once the vehicle exists.

Policies are published here only once approved by the governing body. Listing a policy as in development is a commitment to write it, not a claim that it exists.

Related party boundary
Founder independence.
HxDF was created as an independent public benefit initiative. People involved in founding and advising HxDF also operate separate commercial businesses. HxDF is being developed with clear separation between charitable purpose and commercial activity, including separate decision making, separate handling of beneficiary information, and appropriate governance of any related party transactions.
What that means in practice:
- HxDF owns its charitable mission and public benefit objectives. Program decisions are made under HxDF governance.
- Beneficiary data is controlled by HxDF under its own policies. No company has automatic access to it.
- Lead generation is not a purpose, a program, or a metric. No participant or partner will be routed toward a commercial service.
- Any transaction between HxDF and a related company is subject to disclosure, recusal, fair market value review, and documented approval. HxDF is not designed to purchase services from a company connected to a founder or advisor.
- If a nonprofit that received HxDF support ever independently chose to engage a commercial provider, that decision would be voluntary, separate, at published prices, and outside HxDF.
The intended long term structure is for HxDF to be operationally and governance independent, even if a company remains an early in kind supporter.
